Peter Harkins, Jr.
More than a decade advising boards and management teams on annual meetings, contested situations and cross-border transactions.
Peter Harkins, Jr. is the founder of Harkins & Co. and leads the firm’s proxy solicitation and shareholder advisory work. He is regularly called upon to present ownership, voting and investor-response analysis to boards of directors and senior management teams confronting activism, contested matters, complex transactions and other time-sensitive shareholder situations. Over more than a decade in the field, he has advised on mergers and acquisitions, proxy contests and corporate governance matters for public companies across the United States, Europe and the Middle East, and has advised private equity firms on stakeholder communications and end-of-fund transactions. During his career, he has worked on matters with an aggregate transaction value of more than $65 billion and has advised organizations including Deutsche Börse Group, Xerox Holdings Corporation, SandRidge Energy and Global Telecom Holding. Before founding Harkins & Co., he was a Managing Director at HKL & Co., and earlier in his career he conducted due diligence on loan portfolios tied to the U.S. Treasury’s Troubled Asset Relief Program at The Debt Exchange. He holds a B.A. from Hamilton College and a J.D. from the New England School of Law.
Matthew McConville

Matthew McConville is a Director at Harkins & Co., where he leads solicitation strategy and execution across annual meetings, contested situations and corporate transactions. Before joining Harkins & Co., he served as a Vice President at HKL & Co. He works closely with issuers and their advisors to translate ownership analysis and proxy advisory firm policy into a clear, executable vote strategy. He manages complex solicitations from planning through the final tally. He is a graduate of Washington and Lee University.

Before joining Harkins & Co., she served as a Vice President at HKL & Co. She specializes in mapping ownership, interpreting investor behavior and translating that analysis into engagement and solicitation strategy. She partners with clients on off-season engagement programs and in-season solicitation alike. She is a graduate of Cornish College of the Arts.

Peter Harkins, Sr. has more than three decades of experience in proxy solicitation and shareholder advisory. He served as President and Chief Executive Officer of D.F. King & Co. following a 23-year tenure at the firm and previously was a Senior Vice President at Georgeson & Co., where he specialized in mergers and acquisitions and proxy contests. Most recently, he served as a Managing Director at HKL & Co. His clients have included United Technologies, RJR Nabisco, Vodafone, Time Warner and Deutsche Börse, as well as prominent activist investors, whom he has advised on board representation and control, contested transactions and shareholder activism across the United States and Europe. He has provided expert testimony in the U.S. District Court and the Delaware Court of Chancery on matters of corporate control and has spoken on shareholder activism and M&A. He holds a B.A. from The George Washington University and a J.D. from St. John’s University School of Law.
